MKK Language Services Terms of Service

1 Acceptance of Terms

Welcome to MKK Language Services ("MKK," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the MKK website, mobile applications, online courses, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Services.

2 Eligibility

You must be at least 16 years of age to use our Services. By using our Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3 Account Registration and Security

3.1 Account Creation

To access certain features of our Services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other security breach.

3.3 Account Termination

We reserve the right to suspend or terminate your account if any information provided during registration or thereafter is inaccurate, false, or misleading.

4 Course Enrollment and Access

4.1 Course Materials

Upon enrollment and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view the course content for your personal, non-commercial educational purposes.

4.2 Access Period

Unless otherwise specified, you will have access to purchased courses for the duration specified at the time of purchase (e.g., "lifetime access" or "12-month access").

4.3 No Academic Credit

MKK courses do not confer academic credit, degrees, or certifications unless explicitly stated otherwise. We may provide certificates of completion at our discretion.

5 Payments and Refunds

5.1 Fees

You agree to pay all applicable fees for courses or services you purchase. All fees are stated in Zambian Kwacha (K) unless otherwise indicated and are exclusive of any applicable taxes.

5.2 Payment Processing

Payments are processed through third-party payment providers (e.g., Broadpay Zambia, Lenco). You agree to comply with their terms and conditions.

5.3 Refund Policy

Unless otherwise specified at the time of purchase, course fees are non-refundable once course materials have been accessed. Refund requests must be submitted in writing to our support email within 7 days of purchase if no content has been accessed.

6 User Conduct and Responsibilities

6.1 Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any manner that could disable, overburden, damage, or impair the Services.
• Engage in any conduct that restricts or inhibits anyone's use of the Services.
• Use any robot, spider, or other automatic device to access the Services for any unauthorized purpose.
• Interfere with the security of the Services or any services, systems, or networks connected to the Services.
• Upload or transmit any material that is defamatory, obscene, harassing, or otherwise objectionable.
• Share your account credentials or provide access to paid content to third parties.

6.2 User Content

You retain ownership of any content you submit, post, or display ("User Content") on our Services. By submitting User Content, you grant MKK a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content for the purpose of providing and improving our Services.

6.3 Prohibited Content

You agree not to submit User Content that:

• Infringes any intellectual property rights or proprietary rights of others.
• Contains viruses, malware, or other harmful code.
• Is false, misleading, or deceptive.
• Violates any applicable law or regulation.

7 Intellectual Property Rights

7.1 Our Content

All content available through our Services, including text, graphics, logos, images, audio clips, video clips, course materials, and software, is the property of MKK or our licensors and is protected by copyright and other intellectual property laws.

7.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use our Services for your personal, non-commercial educational purposes.

7.3 Restrictions

You may not:

• Copy, modify, distribute, sell, or lease any part of our Services or included content.
• Reverse engineer or attempt to extract source code from our Services.
• Remove any copyright or proprietary notices from our content.

8 Termination

8.1 By You

You may terminate your account at any time by contacting us or through your account settings.

8.2 By Us

We may suspend or terminate your access to our Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will cease immediately.

8.3 Effect of Termination

Upon termination, all provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9 Disclaimer of Warranties

YOUR USE OF OUR SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. MKK EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE MAKE NO WARRANTY THAT: (A) THE SERVICES WILL MEET YOUR REQUIREMENTS; (B) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; OR (D) THE QUALITY OF ANY COURSES, SERVICES, OR INFORMATION OBTAINED THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS.

10 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MKK, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (C) ANY CONTENT OBTAINED FROM THE SERVICES; AND (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO MKK IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

11 Indemnification

You agree to defend, indemnify, and hold harmless MKK and its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Services; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) any claim that your User Content caused damage to a third party.

12 Third-Party Links and Services

Our Services may contain links to third-party websites or services that are not owned or controlled by MKK. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that MKK shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

13 Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.

14 Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Zambia, without regard to its conflict of law provisions.

14.2 Dispute Resolution

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under the Zambian Arbitration Act. The seat of arbitration shall be Ndola, Zambia. The language of the arbitration shall be English.

14.3 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between MKK and you individually. You agree not to participate in any class, collective, or representative proceeding.

15 Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MKK regarding our Services and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign or transfer these Terms without restriction.
